Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and SwasthaLink (“we”, “us”, or “our”) governing your access to and use of the SwasthaLink platform at swasthalink.com and all related services (the “Platform”).

By clicking “Create Account”, “Sign Up”, or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. This click-wrap acceptance constitutes a valid electronic contract under the Electronic Transactions Act 2063 (2006) of Nepal.

If you do not agree to these Terms, you must not use the Platform.

2. Eligibility

To use the Platform you must:

  • Be at least 18 years of age;
  • If registering as a Professional User, hold a valid registration with a recognised Nepal healthcare council (NMC, NNC, NHPC, NPC, or equivalent);
  • If registering as a Hospital User, be an authorised representative of a licensed healthcare institution registered in Nepal;
  • Have legal capacity to enter into a binding contract under Nepal law; and
  • Not be barred from using the Platform under any applicable law or by a prior SwasthaLink suspension or termination.

3. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised access to or use of your account.

You may not create accounts on behalf of others without express authorisation, use automated methods to create accounts, or create multiple accounts for the same individual or institution.

4. Professional Profiles & Credential Data

Professional Users agree that all information submitted to their profile — including council registration numbers, license numbers, qualifications, specialisations, and uploaded documents — is accurate, authentic, and current.

Submitting false, forged, altered, or misleading credential information is a serious offence. Under Section 47 and related provisions of the Electronic Transactions Act 2063 (2006), knowingly submitting false electronic records may constitute a criminal offence punishable by imprisonment and/or fine under Nepal law. SwasthaLink reserves the right to report suspected fraud to the relevant council and law enforcement authorities.

You are responsible for keeping your credentials up to date. Expired or lapsed credentials must be updated promptly. SwasthaLink may suspend a profile where credential information appears outdated or unverifiable.

5. Hospital Accounts

Hospital Users agree to use the Platform solely for legitimate recruitment and staffing purposes. Hospital Users must not:

  • Post fictitious or misleading job listings;
  • Use candidate profile data for any purpose other than genuine recruitment assessment;
  • Share, sell, or transfer candidate data to third parties without the candidate's consent;
  • Discriminate against candidates on grounds prohibited by Nepal law including race, caste, ethnicity, sex, disability, or religion.

Hospital Users are responsible for ensuring that all job postings comply with applicable Nepal employment and healthcare licensing laws.

6. Prohibited Conduct

You must not:

  • Submit false, fraudulent, or misleading information;
  • Attempt to access accounts, systems, or data that you are not authorised to access;
  • Use automated scraping, bots, or data extraction tools without written permission;
  • Transmit malware, viruses, ransomware, or any malicious code through the Platform;
  • Harass, defame, or threaten other users;
  • Use the Platform to violate any applicable Nepal law or international law;
  • Reverse-engineer, decompile, or attempt to extract the source code of the Platform;
  • Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure.

Violation of this section may result in immediate suspension or termination of your account and, where applicable, referral to law enforcement.

7. Intellectual Property

All rights, title, and interest in the Platform — including its software, design, trademarks, logos, and compiled content — are owned by or licensed to SwasthaLink. Nothing in these Terms grants you any right to use SwasthaLink trademarks or branding without prior written consent.

You retain ownership of content you submit to your profile. By submitting content you grant SwasthaLink a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content solely for operating and improving the Platform. You may withdraw this licence by deleting the relevant content or your account.

8. Service Availability

We aim to maintain Platform availability at all times but do not guarantee uninterrupted or error-free operation. We may suspend the Platform for scheduled maintenance (with advance notice where practicable) or in response to emergencies, security incidents, or circumstances beyond our reasonable control.

SwasthaLink reserves the right to modify, discontinue, or restrict access to any feature or part of the Platform at any time with reasonable notice, except where immediate action is required for security or legal reasons.

9. Limitation of Liability

To the maximum extent permitted by Nepal law, SwasthaLink and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, loss of data, or loss of opportunity — arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the amount you paid to SwasthaLink in the 12-month period preceding the claim, or NPR 10,000 (whichever is greater).

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for any liability that cannot be excluded under applicable Nepal law.

10. Indemnification

You agree to indemnify, defend, and hold harmless SwasthaLink and its officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of: (a) your use of the Platform; (b) your violation of these Terms; (c) any false or misleading information you submit; or (d) your violation of any third-party right.

11. Termination

You may close your account at any time by contacting us at [email protected]. Upon account closure, your profile will be deactivated and data will be handled in accordance with our Privacy Policy.

SwasthaLink may suspend or terminate your account immediately if: (a) you breach these Terms; (b) we are required to do so by law; (c) your credential information is found to be fraudulent; or (d) your account poses a security risk to the Platform or other users.

Sections 7, 9, 10, 12, and 13 survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Nepal, including the Electronic Transactions Act 2063 (2006) and all other applicable Nepal statutes. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Dispute Resolution

We encourage you to contact us first at [email protected] so we can attempt to resolve any dispute informally within 30 days.

If informal resolution fails, disputes may be referred to binding arbitration under the Nepal Arbitration Centre in accordance with the Arbitration Act 2055 (1999) of Nepal. The arbitration shall be conducted in Nepali or English (as agreed by the parties) in Kathmandu.

Where arbitration is not applicable or either party seeks emergency injunctive relief, the dispute shall be subject to the exclusive jurisdiction of the courts of the Kathmandu District, Nepal.

14. General

  • Entire Agreement — these Terms and our Privacy Policy constitute the entire agreement between you and SwasthaLink regarding the Platform and supersede all prior understandings.
  • Severability — if any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Waiver — failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Updates — we may update these Terms from time to time. Material changes will be notified via email and an in-app notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
  • Language — these Terms are written in English. In the event of conflict between an English version and any translation, the English version prevails.
